Terms of Service

1. Agreement to Terms

By accessing or using the services provided by BeFierce ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

BeFierce provides AI-powered automation systems and growth marketing services for HVAC, plumbing, and electrical businesses. Our services include but are not limited to:

  • AI receptionist and call handling systems
  • Business automation and workflow solutions
  • Marketing and growth services
  • Custom software development
  • Consulting and strategy services

3. Service Agreements

Specific services are governed by separate service agreements or statements of work ("SOW") that outline the scope, deliverables, timeline, and pricing. In case of any conflict between these Terms and a specific SOW, the SOW shall prevail.

4. Payment Terms

Project-Based Services

  • Payment schedules will be outlined in the specific SOW
  • Typical structure: 50% deposit, 50% upon completion
  • All payments are in US dollars unless otherwise specified

Ongoing Services

  • Monthly fees are billed in advance
  • Payment is due within 15 days of invoice date
  • Late payments may result in service suspension

5. Refund Policy

Our refund policy is as follows:

  • If we cannot demonstrate clear ROI within 90 days of system launch, we will refund 50% of the project investment
  • Refund eligibility requires full client cooperation during implementation
  • Ongoing service fees are non-refundable once the service period has begun

6. Client Responsibilities

You agree to:

  • Provide accurate and complete information as requested
  • Respond to communications in a timely manner
  • Provide access to necessary systems and accounts
  • Attend scheduled meetings and training sessions
  • Pay invoices according to the agreed schedule
  • Not misuse or attempt to reverse-engineer our systems

7. Intellectual Property

Our Intellectual Property

We retain ownership of all proprietary methodologies, frameworks, code templates, and tools used to deliver our services. You receive a license to use the systems we build for you, but underlying IP remains ours.

Client Ownership

Upon full payment, you own the custom configurations, content, and data specific to your business that we create as part of our services.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes business strategies, financial information, customer data, and technical specifications.

9. Data Protection

We handle all data in accordance with our Privacy Policy. We implement appropriate security measures to protect your data and the data of your customers that flows through our systems.

10. Limitation of Liability

To the maximum extent permitted by law, BeFierce shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits or business opportunities
  • Issues caused by third-party services or integrations
  • Damages exceeding the total fees paid in the 12 months preceding the claim

11. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee specific business outcomes, as results depend on many factors including market conditions and client implementation.

12. Termination

Either party may terminate ongoing services with 30 days' written notice. Upon termination:

  • Client pays for all services rendered up to termination date
  • We provide reasonable assistance in transitioning systems
  • Confidentiality obligations survive termination

13. Indemnification

You agree to indemnify and hold harmless BeFierce from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If resolution is not reached within 30 days, disputes shall be submitted to binding arbitration.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with any applicable SOW and our Privacy Policy, constitute the entire agreement between you and BeFierce regarding the use of our services.
